Director of Legal Affairs – Corporate & Technology (JD) Summary
- Leads the legal department’s efforts in corporate governance, technology law, privacy, and finance.
- Acts as a trusted advisor on strategic legal matters, mergers, acquisitions, and other corporate transactions.
- Fosters collaboration with information security, risk management, and executive leadership teams to address emerging privacy and cybersecurity challenges.
- Promotes a culture of compliance, integrity, and proactive risk management throughout the organization.
Duties & Responsibilities
- Direct and oversee all legal aspects of corporate governance, technology transactions, and financial compliance.
- Provide expert counsel on mergers, acquisitions, and other significant corporate initiatives, ensuring regulatory and legal alignment.
- Draft, review, and negotiate a diverse range of commercial contracts, with an emphasis on IT and technology agreements.
- Collaborate closely with information security and risk management teams to address data privacy and cybersecurity matters, advising on compliance with evolving regulations.
- Monitor ongoing legal developments in technology, privacy, and data protection, interpreting their impact on organizational strategy and operations.
- Manage relationships with outside counsel, optimizing legal resources and supporting the internal legal team’s professional growth.
- Advise senior leadership on legal risk, compliance, and strategic business decisions.

Qualifications & Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Current license to practice law.
- At least 10 years of experience in corporate governance, finance, and technology law, with demonstrated expertise in privacy and cybersecurity matters.
- Strong technical proficiency, particularly with MS Office and document management software.
- Proven ability to analyze and resolve complex legal issues with a strategic mindset.
- Experience managing legal teams and collaborating with outside counsel is highly desirable.
