Assistant General Counsel (AGC) - Summary

Duties & Responsibilities
- Lead, draft, negotiate, and administer all aspects of commercial contractual agreements, including SaaS and software licensing, master service agreements, statements of work, professional services, vendor, non-disclosure, and teaming agreements.
- Serve as a trusted legal advisor to internal stakeholders, providing guidance on legal and risk considerations in business operations.
- Maintain and update contract templates and negotiation playbooks in response to evolving legal requirements.
- Monitor regulatory and industry developments, especially in data privacy and cybersecurity, affecting contracts and third-party agreements.
- Provide employment law counseling to HR and management on issues including discrimination, accommodation, performance management, terminations, wage and hour, non-compete agreements, and employee privacy.
- Review and develop proactive employment practices, stay updated on relevant laws, and report findings to leadership.
- Manage litigation, government agency investigations, administrative charges, and direct internal investigations of employee claims.
- Represent the company in legal proceedings, including hearings and inquiries by regulatory bodies.
- Oversee company eLearning and training program, including web-based training development and eLearning platform administration.
- Supervise risk management and business continuity initiatives in compliance with customer requirements.
- Consult with external legal counsel on complex legal issues as needed.

Qualifications & Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in a state bar and eligibility for admission as Florida Authorized House Counsel.
- Minimum of 5 years’ experience as an attorney in commercial contracts and employment law, with demonstrated leadership or supervisory experience.
- Expertise in commercial transaction legal issues, including limitation of liability, indemnification, service level agreements, and intellectual property.
- Strong understanding of employment law across multiple jurisdictions.
- Proficiency in legal research, contract review, and legal document drafting.
- Exceptional written and verbal communication skills.
- Strong analytical, organizational, and interpersonal skills.
- Ability to manage multiple priorities and projects in a fast-paced environment.
- Familiarity with data privacy laws and protection obligations.
- Business-oriented, pragmatic approach to legal problem-solving.
- Proficiency with legal and business software applications.
